      Introduction to Sino-century assets management Co., Ltd

 Sino-Century Assets Management Co., Ltd. (“The Company”) is a venture capital company, which being first awarded license by the municipal government of Shanghai Pudong New Area in April 2000, with management right solely ceded to Sino-Century Capital and Development Ltd. (“SCCD”) for 5 years starting from year 2000 by the company¢s board.

 The company is the frontrunner of introducing value-added bridge between the Taiwan straits and the West generating and facilitating attractive cross-border investment transactions. With intention to capitalize on China¢s high-tech investment opportunities as well as progressive liberalization, especially after its entry into WTO expected in 2001, two V.C. companies alike will be set up by the end of 2000 in Beijing and Shenzhen, also cooperated with local governments and sectors in charge of prompting technic development. 

The parties of the joint venture include Shanghai Pudong Venture Capital Co., Ltd., (“Pudong Venture Capital”), Shanghai Jinqiao Group Co., Ltd. (“Jinqiao”), Shanghai Zhangjiang Hi-Tech Park Development Co., Ltd. (“Zhangjiang”) and SCCD. 

The company is registered in Shanghai with capital of US$ 5 million.  

The management 

For over one and a half decades, the principals of Sino-Century led by Dr. Wan-Lin Kiang at the China Development Corporation (CDC) – a leading financial institution well known throughout the region, developed and managed a portfolio of investments in key industries that were at the forefront of Taiwan¢s economic growth. 

During 1980s and 1990s, the management team has covered the most dynamic economic development era in Greater China. Collectively the management team represents over fifty years of executive responsibilities in many groundbreaking direct investment projects. Principals and senior officers have a wide range of experience spanning industry, business management, direct investment, and banking, and have established in-depth relationships with Chinese entrepreneurs as well as government authorities. The Sino-Century team will capitalize on its financial experience, managerial expertise, operational skills, and extensive network to help ensure the success. 

About “SCCD”(owns 50% of the company) 

Sino-Century Capital and Development Ltd. is a Hong Kong based investment management of the Sino-Century Industrial Development Fund. The organization has operations in Shanghai, Hong Kong and Taiwan, and will complete its regional operation network with the opening of the new offices in Beijing and Shenzhen by the year 2000.  

About “Pudong Venture Capital” (owns 20% of the company) 

Shanghai Pudong Venture Capital Co., Ltd. is the major high-tech investment vehicle of the municipal government of Shanghai Pudong New Area.  

About “Jinqiao” (owns 20% of the company) 

Shanghai Jinqiao Group Co., Ltd. is the holding company of Jinqiao Shanghai Jinqiao Export Processing Zone (Jinqiao EPZ). Jinqiao EPZ is a state-level development zone approved by the State Council of China in 1990. It is located in the middle of Shanghai Pudong New Area with planed area of 20 km2. By the end of July 2000, 353 projects have been introduced in the zone; investment amount comes to US$8.63 billion. Among the transnational companies investing in the zone, 24 are listed among 1998 top 500 global companies appraised by FORTUNE magazine. The gross industrial output value of Jinqiao EPZ in 1999 reached RMB36.8 billion, taking 25.4% of the gross industrial output value of Pudong New Area. There are 37 enterprises in the zone whose annual output value exceeds RMB100 million. 

About “Zhangjiang” (owns 10% of the company) 

Shanghai Zhangjiang Hi-Tech Park Development Co., Ltd. is in charge of development of Shanghai Z.J. Hi-Tech Park. Shanghai Z.J. Hi-Tech Park with a planning area of 25 km2 behaves as a state-class hi-tech industry development zone. The Park was established in July 1992. Nearly 60 Projects and a total investment sum beyond 1.2 billion US dollars have been housed in the Park. In the park will be built the National Biomedical and Bioengineering Base and biotechnology, microelectronics and computer software will receive special support here. Well-known companies in the park include the Shanghai Roche Pharmaceutical Corporation, Medtronic International Co., Ltd., etc. In 1999 Shanghai municipal government made the decision that Shanghai Z.J. Hi-Tech Park is to be developed an important technology innovation base in the 21 century.
